1 Acceptance of Terms
By placing a verbal, written, WhatsApp, email, or IndiaMART inquiry that results in a confirmed order, the Buyer unconditionally accepts these Terms & Conditions in their entirety. Yash Textiles reserves the right to amend these terms at any time; the version in force at the date of the purchase order shall apply.
2 Minimum Order Quantity (MOQ)
- The standard MOQ is 500 metres per fabric type per colour per order.
- Equivalent to a minimum of 5 rolls (1 roll = 100 metres; guaranteed minimum yield of 98 metres per roll).
- Sub-MOQ orders may be accommodated at a surcharge of 10–15% over the standard rate, subject to prior written approval.
- Swatch samples (up to 0.5 m per fabric) are available free of charge for registered B2B buyers; courier charges apply for outstation delivery.
- Splitting a single requirement across multiple orders to circumvent the MOQ is not permitted.
3 Pricing, Quotations & Rate Fluctuation
- All price indications on the website are indicative estimates only and do not constitute a binding offer.
- A confirmed rate is issued only via a formal Proforma Invoice (PI) or written quotation signed by an authorised representative.
- Quoted rates are valid for 7 calendar days from the date of PI, subject to raw-material availability.
- Rates are exclusive of GST at the rate applicable to the relevant HSN code.
- International orders are quoted in INR unless explicitly agreed otherwise. Currency conversion risk is borne solely by the Buyer.
- Yash Textiles may revise rates if yarn/fibre commodity prices change by more than 5% between quotation and production commencement.
4 Payment Terms
- New Buyers: 100% advance payment required before production begins.
- Existing Buyers (6+ months): 50% advance; balance before dispatch — subject to written agreement.
- Accepted modes: NEFT / RTGS / IMPS, UPI (GPay, PhonePe, Paytm), Trade Credit (pre-approved accounts only).
- Cash payments not accepted for orders exceeding ₹2,00,000 as per Section 40A(3) of the Income Tax Act, 1961.
- Payment delays beyond agreed credit terms attract interest at 18% per annum compounded monthly.
- Goods remain the property of Yash Textiles until payment is received in full (Retention of Title).
5 GST, Invoicing & Tax Compliance
- All invoices are raised under GSTIN 07ADDPA8218Q1ZB (State: Delhi, Code: 07).
- Buyers must provide a valid GSTIN at the time of order to claim Input Tax Credit (ITC).
- GST is charged at the rate applicable to the relevant HSN code as per the prevailing GST Council schedule.
- E-invoicing (IRN + QR Code) is generated for all B2B transactions above the mandatory threshold per CBIC notification.
- Export orders with a valid LUT (Letter of Undertaking) under GST Rule 96A will be invoiced zero-rated; Buyer must furnish LUT reference prior to dispatch.
6 Quality Standards & Inspection
- All fabric is supplied subject to standard industry tolerances: ±5% GSM, ±2% width, ±5% quantity per roll.
- Yash Textiles guarantees a minimum yield of 98 metres per 100-metre roll.
- Pre-shipment inspection at our Gandhi Nagar premises is welcomed with 48-hour prior written notice.
- Dye-lot colour variations up to ±Grade 4 on the Grey Scale (ISO 105-A02) are within commercial limits and are not grounds for rejection.
- Shade variation between rolls across different production batches is not guaranteed.
7 Claims, Returns & Rejections
- Quality claims must be raised within 7 calendar days of delivery with photographic evidence, roll labels, and a written description.
- Claims after 7 days, or post cutting/processing/washing, will not be entertained.
- Accepted claims resolved by: (a) replacement rolls, (b) credit note, or (c) partial refund — at Yash Textiles' discretion.
- Returns are not accepted for: buyer's change of mind, design changes, colour variation within tolerance, or surplus fabric.
- Eligible returns must be in original uncut, unwashed condition. Return freight costs are borne by the Buyer unless defect is manufacturing-related.
8 Delivery, Dispatch & Risk of Loss
- Standard lead time is 5–15 working days from payment confirmation, subject to stock and order volume.
- Delivery timelines are estimates only and do not constitute a guarantee.
- Goods are dispatched Ex-Works (EXW) from Gandhi Nagar, Delhi unless otherwise agreed in writing.
- Risk of loss passes to the Buyer upon handover to the Buyer's carrier or collection from our premises.
- Pan-India logistics can be arranged on the Buyer's behalf as a value-added service; freight billed at actuals.
- Export documentation (Commercial Invoice, Packing List, CoO) provided upon request at no extra charge.
9 Order Cancellations & Modifications
- Orders may be cancelled or modified within 24 hours of confirmation at no charge, provided production has not commenced.
- Post-production cancellations attract a fee of 25–50% of the order value.
- Custom-dyed, custom-width, or specially sourced fabrics are non-cancellable once confirmed.
- Eligible advance refunds will be processed within 15 working days.
10 Confidentiality & Intellectual Property
- Pricing, product specifications, and sourcing details are strictly confidential and must not be disclosed to third parties.
- Custom fabric designs or patterns developed in collaboration remain joint intellectual property unless a separate IP agreement is executed.
- Yash Textiles may display fabrics in its general product portfolio unless a signed exclusivity agreement exists.
11 Limitation of Liability
- Total liability shall not exceed the invoice value of the specific order in question.
- Yash Textiles shall not be liable for indirect, incidental, or consequential damages including loss of production, profit, or brand damage.
- Yash Textiles makes no warranty as to fabric suitability for any specific end-use. The Buyer is responsible for testing and validation.
12 Force Majeure
Yash Textiles shall not be liable for delay or failure to perform resulting from circumstances beyond its reasonable control, including: natural disasters, flood, fire, pandemic, government lockdowns, textile mill strikes, port closure, war, or regulatory changes. Yash Textiles will notify the Buyer promptly and make reasonable efforts to fulfil the order as soon as practicable.
13 Dispute Resolution & Governing Law
- Disputes shall first be resolved through good-faith negotiation within 30 days of written notice.
- If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India).
- The seat of arbitration shall be New Delhi, India.
- Governed by the laws of the Republic of India. Subject to arbitration, Delhi courts shall have exclusive jurisdiction.
14 Amendments & Entire Agreement
These Terms & Conditions, together with the Proforma Invoice and any signed purchase order, constitute the entire agreement between the parties and supersede all prior negotiations. No modification shall be effective unless in writing and signed by an authorised representative of Yash Textiles.
